ANZ raises $1.7bn with KWM's help

King & Wood Mallesons (KWM) has advised Australia and New Zealand Banking Group Limited (ANZ) on a $1.7bn capital raising.

The Additional Tier 1 Capital funds were raised through an ANZ Capital Notes 9 (CN9) offer. KWM provided guidance on all aspects of the offer, including the reinvestment offer for qualified holders of ANZ Capital Notes 4.

Partners Ian Paterson, Joseph Muraca and Jack Hill headed up the firm’s team, supported by senior associate Kathryn Tomasic and solicitors James Atcheson, Andrew Chong and Alice Sawers. Tax advice was provided by partner David Wood and senior associate Frankie Barbour.

Wollar Solar Holding’s proposed scheme of arrangement acquisition

KWM also assisted Wollar Solar Holding Pty Ltd (WSH) on its proposed acquisition of TPC Consolidated Limited (TPC) via scheme of arrangement.

The deal hinges on the approval of TPC shareholders. The scheme is expected to be implemented in the third quarter of the year.

Launched by the Beijing Energy Group (BJEI Australia) in 2021, WSH focuses on the construction and operation of clean energy projects throughout Australia.

"The entry into the scheme implementation agreement is a significant milestone for WSH and the BJEI Australia group. We are also excited about the opportunities this transaction will bring for the energy sector", KWM co-lead partner Roderick Smythe said.

Smythe led the firm’s team alongside fellow partners David Eliakim and Malcolm Brennan. They received support from senior associates Samuel Higgs, Aaron Brooks, Abby Mu and Claudia Hollings.
